License Terms & Conditions
Please read this legally binding contract carefully between Computer Plus Solutions and the Customer.
This Agreement governs your use of our services. For your convenience, plain-language notes are provided, but please note they are for informational purposes only and do not form part of the legal contract.
01. Interpretation & Definitions
- Authorized Users: Permitted individuals for service access.
- Customer Data: Information provided by you or your users.
- Subscription Term: Initial period plus any renewals.
- Services: Online software and documentation available via our website.
02. User Subscriptions
- Non-exclusive, non-transferable right to access services upon payment.
- Number of users must not exceed the purchased limit.
- Accounts are individual; credentials must remain confidential.
03. Upgrading
Upgrade at any time by notifying us and settling additional fees.
04. Service Availability
We target 24/7 uptime, excluding pre-planned maintenance windows.
05. Data Privacy & Ownership
You retain full ownership of your data. We comply with U.S. privacy laws including CCPA.
06. Our Commitments
We provide services with reasonable skill but do not guarantee error-free operation.
08. Proprietary Rights
All Intellectual Property in the Software remains our exclusive property.
07. Charges & Payment Structure

09. Indemnity
Customers defend us against claims arising from their service usage.
10. Liability Limits
Maximum liability is capped at the fees paid during the preceding 12 months.
11. Term & Termination
Automatic renewal unless 7 days notice is given. Immediate termination for breach.
12. Returns Policy
- • No returns on subscriptions.
- • 14-day window for product returns.
- • 10% restocking fee applies.
13. Warranty Periods
- • Labor & Used Parts: 30 Days
- • New Parts: 90 Days
- • Support Coverage: Included in active terms.
14. Late Fees
15% monthly fee on overdue balances.
15. Unclaimed Items
Equipment left over 30 days may be sold.
16. Force Majeure
Not liable for acts of God or power outages.
17. Variations
Amendments must be written and signed.
18. Entire Agreement
This supersedes all prior communications.
19. Assignment
Transfer of rights requires our consent.
20. Relationship
No partnership or agency is established.
21. Third Party Rights
No rights granted to outside parties.
22. Governing Law
This agreement is governed by the laws of the State of Minnesota. All disputes must be resolved in the courts of Nicollet County, Minnesota.
